iGuide.ai (hereinafter referred to as “iGuide”) commits to respecting and protecting the intellectual property rights of organizations and individuals in the process of organizing and operating the iGuide.ai e-commerce service website/e-commerce platform (hereinafter referred to as “the Platform”). The commitment is as follows:
Commitment to respecting intellectual property rights.
iGuide is committed to:
1.1. Fully respect the legal intellectual property rights of all organizations and individuals as stipulated by Vietnamese law and relevant international treaties to which Vietnam is a party.
1.2. Do not intentionally infringe upon or illegally use any intellectual property rights of a third party, including but not limited to: trademarks, trade names, inventions, industrial designs, copyrights and related rights, trade secrets, designs, databases, and other intellectual property rights as stipulated by law.
1.3. All Suppliers/Sellers, Partners, and Users (hereinafter collectively referred to as "Members") participating in and using the Platform must comply with intellectual property laws and regulations and must not use the Platform to infringe on the intellectual property rights of any organization or individual.
2. Commitment to content on the Platform
2.1. Regarding intellectual property owned by iGuide:
a) All trademarks, trade names, logos, slogans, interfaces, layouts, designs, source code, databases, compiled content, instruction manuals, images, videos, icons, domain names, and other content created, developed, owned, or legally licensed by iGuide (hereinafter collectively referred to as "iGuide's Intellectual Property") are protected under the provisions of the law on intellectual property.
b) Members and third parties may not copy, modify, distribute, publish, create derivative products, commercially exploit, or otherwise use iGuide's Intellectual Property without iGuide's prior written consent, except as otherwise provided by law.
2.2. For content uploaded by Providers/Users:
a) The content, data, images, trademarks, documents, information about products and services, promotional information, and other content uploaded, provided, or transmitted to the Platform by the Provider/User (hereinafter collectively referred to as "Member Content") are the property or legally owned and used by that Provider/User, unless otherwise agreed upon by the parties in accordance with the law.
b) iGuide requires and implicitly understands that each Provider/User, upon uploading Member Content, commits to and assumes full responsibility for:
iGuide has full rights, licenses, approvals, or legal authorization to use, post, exploit, and allow iGuide to display Member Content on the Platform;
Member content does not infringe on the intellectual property rights, related rights, or any other legal rights of third parties;
Members assume full legal responsibility, liability to the rights holder, and iGuide for any claims, disputes, or damages arising from intellectual property rights related to their Content.
2.3. The intermediary role of iGuide:
iGuide is an intermediary service provider and is not the creator or uploader of Member Content. iGuide is not obligated to review or pre-approve all content uploaded by Members to the Platform. iGuide's display, storage, and provision of links to Member Content should not be interpreted as confirming, guaranteeing, or agreeing to the legality of such content, except where otherwise provided by law.
3. Mechanism for receiving and processing notifications of intellectual property rights infringement.
3.1. iGuide establishes a point of contact for receiving notifications and complaints related to alleged intellectual property infringement on the Platform; contact information and procedures are published in the Platform's Operating Regulations and/or the "Contact/Policies" section on the Website.
3.2. Upon receiving a valid notification from the intellectual property rights holder, their legal representative, or a competent state agency, along with the necessary information/documents as required by law, iGuide will:
a) Record and conduct a preliminary review of the information received;
b) To the extent reasonable and in accordance with legal regulations, proactively hide, block, or remove from the Platform any content, information, products, or services deemed to be infringing during the review and processing period;
c) Inform the relevant Supplier/User about the content of the notice and the rights holder's request so that they are aware and can cooperate in resolving the issue;
d) Where necessary, cooperate in providing basic information about the relevant Supplier/User to the rights holder and/or competent state agencies in accordance with the law and within the permitted scope, in order to facilitate the verification and handling of violations.
3.3. The resolution of intellectual property disputes and complaints between rights holders and Suppliers/Users is primarily carried out through negotiation and mediation between the parties involved. iGuide may consider restoring or further suspending the display of the disputed content based on the following:
The agreement/settlement between the parties involved is communicated to iGuide; or
Decisions and conclusions of competent state agencies or court rulings have legal effect; they must comply with legal regulations and the Exchange's operating regulations.
4. Measures to address intellectual property infringement on the Platform
4.1. Any of the following acts (including but not limited to) if determined to be unlawful and/or contrary to the Platform's Operating Regulations and Terms & Conditions of Service will be considered an infringement or potential infringement of intellectual property rights on the Platform:
But
Unauthorized copying, modification, translation, compilation, synthesis, extraction, or creation of derivative products from iGuide's Intellectual Property or the Content of other Members without permission;But
Distributing, releasing, transmitting, publishing, or publicly displaying protected works, trademarks, images, data, software, or other content without legal basis or the permission of the rights holder;But
Using signs that are identical or confusingly similar to the trademarks, trade names, domain names, or commercial indications of iGuide or other Members on the Platform;But
Any other act is considered an infringement of intellectual property rights under applicable law.4.2. Based on the nature and severity of the violation and the documents and evidence collected, iGuide may apply one or more of the following measures to the violating Provider/User:
a) Sending warnings, reminders, requests to cease infringing acts and/or requests for correction or supplementation of documents proving legitimate intellectual property rights;
b) Temporarily hide or remove part or all of the content, products, or services deemed to be infringing from the Platform;
c) Temporarily disable features, restrict access, or limit the use of some or all of the services on the Platform for accounts that violate the rules;
d) Termination of service provision, termination of membership, termination of cooperation under signed contracts/agreements (if any), in accordance with legal regulations;
e) Depending on the specific case, transfer or provide relevant documents and information to the competent state agency for consideration and handling in accordance with the law.
4.3. The above measures are applied on the basis of the Platform's Operating Regulations, Terms & Conditions of Service, and related agreements between iGuide and Members, while ensuring compliance with current intellectual property and e-commerce laws.
